AD Ports Group Moves to Take Control of Key Egyptian Port Operator

Abu Dhabi-based AD Ports Group has announced plans to acquire a controlling stake in Alexandria Container & Cargo Handling Company (ALCN), one of Egypt’s most strategically important container terminal operators, marking a significant expansion of its regional maritime footprint. 

The move will be executed through a Mandatory Tender Offer (MTO) under Egyptian securities regulations, through which AD Ports aims to acquire an additional up to 32% stake in ALCN. Combined with its existing 19.3% shareholding, the transaction would give AD Ports majority ownership and management control of the company. 

Strengthening Presence in Strategic Maritime Hubs 

ALCN operates two major container terminals at Alexandria Port and El Dekheila Port, which together account for a substantial share of container traffic along Egypt’s Mediterranean coast. These ports play a critical role in facilitating regional and international trade, benefiting from proximity to key east–west shipping routes and the Suez Canal. 

Gaining control of ALCN would significantly enhance AD Ports’ operational presence in Egypt, one of its fastest-growing international markets, while reinforcing its position as a leading global ports, logistics, and maritime services group. 

Transaction Details and Timeline 

Under the proposed offer, AD Ports plans to purchase ALCN shares at EGP 22.99 per share, valuing the transaction at approximately EGP 8.37 billion. The group has indicated that it is evaluating optimal financing options for the acquisition. 

The transaction is expected to close in the second quarter of 2026, subject to regulatory approvals in Egypt. Existing shareholders, including public-sector entities, will retain their remaining shareholdings following completion of the offer. 

Strategic Rationale 

The acquisition aligns with AD Ports Group’s broader strategy to expand across high-growth maritime and logistics corridors, particularly in the Middle East, Africa, and the Mediterranean region. By securing control of established container terminals, the group aims to strengthen trade connectivity, enhance operational efficiency, and support long-term cargo volume growth. 

ALCN’s strong financial performance and central role in Egypt’s port infrastructure further support the strategic case for the transaction, positioning AD Ports to generate sustainable value while contributing to the development of Egypt’s logistics ecosystem. 

Implications for Regional Trade and Investment 

Once completed, the transaction is expected to further strengthen UAE–Egypt economic cooperation, particularly in the ports, logistics, and infrastructure sectors. Majority ownership of ALCN would allow AD Ports to integrate the terminals into its wider international network, enhance operational standards, and unlock synergies across shipping, logistics, and maritime services. 

The move also highlights growing investor confidence in Egypt’s port infrastructure and long-term trade potential, reinforcing the country’s role as a strategic gateway linking Africa, the Middle East, and Europe.
